Terms of Service

These Terms of Service ("Terms") govern your access to and use of the platforms and services operated by Change Path One LLC ("Company," "we," "us," or "our"), a Texas limited liability company based in Houston, Texas. Our platforms include RovrCare™, ShiftPulse™, RovrCall™, RovrConnect™, and related services (collectively, the "Services").

By creating an account or using any of our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our Services.

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you have the legal authority to enter into this agreement. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

Change Path One LLC operates the following consumer-facing platforms and services:

• RovrCare™ — A companion care platform connecting care recipients with trained, background-verified professionals in the Houston area.
• ShiftPulse™ — A voice-first wellness and career development platform for service workers, available by monthly subscription.
• RovrCall™ — The operational and communications platform for VitaSync™ Mission Specialists and care professionals.
• RovrConnect™ — Network and community features connecting care professionals and the communities they serve.
• VitaSync™ Sessions — Scheduled companion and wellness sessions facilitated through the RovrCare™ platform.
• RovrTask™ — Care-adjacent delivery and errand services provided by trained professionals.
• RovrQuest™ — Concierge and specialty service requests available through RovrCare™.

All service names and platform names referenced above are trademarks or service marks of Change Path One LLC.

To access most features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your login credentials confidential and not share them with others.
• Notify us immediately at admin@rovrcare.com of any unauthorized use of your account.

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

Individuals applying to provide services through our platforms ("Mission Specialists" or "Professionals") must:

• Complete our registration and onboarding process, including identity verification and background screening.
• Maintain current, accurate professional credentials as required by the platform.
• Adhere to our professional conduct standards, safety guidelines, and applicable laws at all times.
• Represent that they are legally authorized to work in the United States.

We reserve the right to remove any Professional from the platform at our discretion for violations of these Terms, professional standards, or applicable law.

Certain features of our Services require a paid subscription:

• ShiftPulse™ is available for $9.99/month per user. Subscriptions renew automatically unless cancelled prior to the renewal date.
• Service fees for RovrCare™ sessions, RovrTask™ deliveries, and RovrQuest™ services are disclosed at the time of booking.

All payments are processed through secure third-party payment providers. We do not store full payment card numbers. Refund requests are handled on a case-by-case basis in accordance with our Refund Policy, available upon request.

You agree not to:

• Use our Services for any unlawful purpose or in violation of any applicable law.
• Harass, threaten, or harm any other user, Professional, or Company staff member.
• Submit false, misleading, or fraudulent information.
• Attempt to reverse engineer, scrape, or interfere with the technical operation of our platforms.
• Use the Services to transmit spam, malware, or unauthorized advertising.
• Circumvent any security or access control features.

Violation of these rules may result in immediate termination of your account and, where applicable, referral to law enforcement.

All content, trademarks, service marks, logos, platform designs, and technology within our Services are owned by or licensed to Change Path One LLC. These Terms do not grant you any rights to use our intellectual property except as expressly set forth herein. The marks RovrCare™, ShiftPulse™, RovrCall™, RovrConnect™, RovrQuest™, RovrTask™, and VitaSync™ are the exclusive property of Change Path One LLC.

User-submitted content (reviews, profile information, messages) remains your property. By submitting content to our platforms, you grant Change Path One LLC a non-exclusive, royalty-free license to use, display, and distribute that content in connection with providing and improving the Services.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Change Path One LLC does not guarantee the availability, accuracy, or reliability of any Professional listed on our platforms. We are a technology platform and are not a licensed healthcare provider, staffing agency, or medical services organization. Services rendered by Professionals on our platforms are not medical treatment.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHANGE PATH ONE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, OUR SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Harris County, Texas. You consent to personal jurisdiction in those courts.

Before initiating legal proceedings, you agree to attempt to resolve any dispute by contacting us at admin@rovrcare.com. We will endeavor to respond within 30 days.

We may update these Terms at any time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of our Services after the effective date constitutes acceptance of the revised Terms.
